Terms of Service

FixQuest Limited (RC 9809074) · Effective Date: 29 August 2026

1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of fixquest.com.ng and the FixQuest platform (the "Service"), operated by FixQuest Limited (RC 9809074), a company incorporated in the Federal Republic of Nigeria ("FixQuest", "we", "us"). These Terms incorporate by reference our Privacy Policy and any other policies or pages published on the Service, each as updated from time to time.

2. What FixQuest Is

FixQuest is a directory and discovery platform. We help visitors find and contact local business owners/service providers and NGOs/CSOs across Nigeria. We are not a party to, and take no responsibility for, any agreement, transaction, or dispute between a visitor and a Provider or NGO/CSO. Any work performed, service rendered, donation made, or payment exchanged directly between a visitor and a listed party is solely between those two parties. FixQuest does not interfere in dealings between customers and business owners, service providers, or NGOs/CSOs.

3. Eligibility

You must have the legal capacity to enter into a binding contract under Nigerian law to register a Provider, NGO/CSO, or Referral Associate account. You must provide accurate, current, and complete information when registering, and keep it up to date. Organisational accounts (NGO/CSO) must be registered by someone with authority to act on that organisation's behalf.

4. Accounts

4.1

You are responsible for keeping your password confidential and for all activity under your account.

4.2

Provider and NGO/CSO accounts only become publicly visible after we review and approve them. We may reject an application, or suspend an active account, where we reasonably believe the application or account involves false information, violation of these Terms, or fraudulent activity; we will communicate the reasons where practicable prior to or at the time of the decision.

4.3

Where we suspend a Provider or NGO/CSO account, we will, to the extent lawful and practicable:

  • —send you written notification of the alleged violation to the email address on file;
  • —initiate an administrative review to be concluded within three (3) business days of the notification;
  • —allow you to submit representations, evidence, or a corrective action plan within that review window; and
  • —communicate the outcome in writing, including the grounds where we uphold a suspension or termination.

4.4

Where we reasonably believe there is a risk of fraud, illegal activity, or imminent harm to FixQuest, other users, or third parties, we may take immediate interim action pending completion of the review described in §4.3.

4.5

Upon conclusion of the review, we will either restore the account or terminate it permanently, based on objective findings of fraud, misrepresentation, or abuse. For minor or first-time infractions, we may instead issue a written warning or require corrective action before any further action is taken. A material breach — such as fraud, misrepresentation, or abuse that is deliberate or repeated — may result in permanent termination.

4.6

You may request closure of your account at any time by contacting support@fixquest.com.ng.

5. Listings & Conduct

If you operate a Provider or NGO/CSO listing, you agree that:

  • —Your listing accurately describes your business or organisation, its services or thematic work, and your qualifications — you will not misrepresent who you are or what you offer.
  • —You will not list any service that is illegal under Nigerian law, or misrepresent a service as licensed/certified when it is not.
  • —Content you upload (photos, descriptions, documents) is yours to upload, does not infringe anyone else's rights, and does not contain harmful, offensive, or misleading material.
  • —You will not attempt to manipulate your ranking, reviews, or visibility outside the mechanisms FixQuest provides (e.g. paid featured placement).
  • —You will hold any licences, permits, or registrations required to offer regulated services, and provide evidence of these to FixQuest upon reasonable request.

6. Reviews

  • —Every review requires email verification (OTP) before it is published.
  • —Providers and NGOs/CSOs may not submit, solicit, or pay for reviews of themselves or their competitors, and may not offer incentives in exchange for a review.
  • —FixQuest may moderate, remove, or decline to publish any review that violates these Terms, applicable law, or that we reasonably believe to be fraudulent.
  • —Reported reviews and listings are handled through our internal moderation process; a report does not guarantee removal, and removal decisions are at FixQuest's discretion, subject to §4 where they affect an account.

7. Subscriptions & Billing

Provider and NGO/CSO accounts may subscribe to a paid plan for additional features (higher upload limits, priority ranking, featured placement, and other entitlements as described on the Plans page in effect at the time).

Payments are processed by Flutterwave, a PCI-DSS compliant third-party payment processor. By subscribing, you consent to the processing of your payment data by Flutterwave under Flutterwave's own terms, privacy, and security policies. FixQuest does not receive or store your full card numbers or banking credentials. To the extent we process your personal data to provide the Service — including your name, email address, billing identifiers, and subscription history — we do so in accordance with §21 (Data Protection & Privacy) and our Privacy Policy, relying on the necessity of performing our contract with you and, where applicable, our legitimate interests or your consent.

Plan prices, features, and entitlements may change; where they do, we will update the Plans page, and changes apply prospectively, not to a billing cycle you have already paid for. Fees are non-refundable except where required by law or expressly stated otherwise.

8. Plan Expiry & Grace Period

When a paid plan's billing period ends without renewal, your account keeps its paid-tier benefits for a 7-day grace period. If the plan is not renewed within that window, your account and public listing automatically revert to the free tier's limits — for example, gallery images beyond the free limit are no longer publicly shown and captions are hidden — until you renew. No content is deleted when this happens; renewing restores full access to everything you previously uploaded. Content is retained in accordance with our Privacy Policy and §21, irrespective of the tier your account is on.

10. Referral Associate Program

Referral Associates earn commission when a Provider or NGO/CSO they refer registers using their referral code, that account is subsequently approved by our administrators, and later subscribes to, and pays for, a paid plan. Commissions accrue from the referred account's first verified subscription and are credited to your commission balance.

Commission amounts and rates are as published on the Referral Program page at the time a qualifying referral occurs, and may be changed by FixQuest for future referrals with reasonable notice. A referred account counts as a "qualified referral" once it has been approved by our administrators, regardless of whether it later subscribes.

Withdrawals require a minimum accumulated balance of ₦5,000 and at least 10 qualified referrals, and are subject to admin review before payout to the bank account on file. FixQuest may withhold, reverse, or decline a commission, and may suspend a Referral Associate account, where we reasonably believe referral activity is fraudulent, self-referred, or otherwise abusive of the program, subject to the review process in §4 where applicable.

11. Administrative Plan Overrides

FixQuest administrators may, at their discretion, manually adjust an account's plan tier or expiry — for example, to correct an error, resolve a support case, or provide a courtesy extension. Such actions are logged internally for accountability.

12. Prohibited Conduct

You agree not to:

  • —Use the Service for any unlawful purpose, or to list or promote an unlawful service.
  • —Submit false, fake, or incentivised reviews, or otherwise attempt to manipulate ratings or rankings.
  • —Impersonate any person or organisation, or misrepresent your affiliation with one.
  • —Scrape, harvest, or bulk-extract data from the Service, or use automated means to access it beyond normal browsing.
  • —Attempt to bypass our admin approval process, security measures, or account verification.
  • —Create new accounts to circumvent a suspension, termination, or other enforcement action under these Terms.
  • —Harass, threaten, or abuse other users, or upload content that is defamatory, obscene, or otherwise unlawful.
  • —Interfere with or disrupt the integrity or performance of the Service.

13. Content Ownership & License

You retain ownership of the content you upload (photos, descriptions, documents, videos). By uploading it, you grant FixQuest a non-exclusive, royalty-free license to host, display, and distribute that content as part of operating and promoting the Service and your public listing. This license does not extend to personal data, which remains subject to our Privacy Policy and §21. FixQuest's name, logo, and brand assets are the property of FixQuest Limited and may not be used without our prior written permission.

14. Disclaimers

The Service is provided "as is" and "as available." FixQuest does not guarantee the accuracy, quality, safety, or legality of any listing, review, or interaction between users, and does not vet Providers or NGOs/CSOs beyond the review process described in this document and our Privacy Policy. FixQuest does not provide legal, financial, tax, or other professional advice through the Service, and any information on the Service is for general information only. You engage with any Provider or NGO/CSO at your own discretion and risk. FixQuest does not interfere in, and is not responsible for, dealings between customers and business owners, service providers, or NGOs/CSOs.

15. Limitation of Liability

To the fullest extent permitted by Nigerian law, FixQuest Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, or from any transaction, service, or interaction between users of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the greater of (i) the amount you paid to FixQuest, if any, in the twelve months preceding the claim, or (ii) ₦100,000.

Nothing in these Terms excludes or limits liability:

  • —for fraud or fraudulent misrepresentation;
  • —for wilful misconduct or gross negligence;
  • —for death or personal injury caused by our negligence; or
  • —to the extent such liability cannot be excluded or limited under Nigerian law, including under the Federal Competition and Consumer Protection Act, 2018 or other applicable consumer protection legislation.

16. Indemnification

You agree to indemnify and hold FixQuest Limited harmless from any claim, loss, or damage (including reasonable legal fees) arising from your breach of these Terms, your content, or your use of the Service. This indemnity does not apply to the extent a claim arises from our own fraud, wilful misconduct, or negligence, or to the extent prohibited by applicable law.

17. Termination

We may suspend or terminate your account:

  • —immediately, with or without notice, where you engage in fraud, illegal activity, or conduct we reasonably believe imminently harms FixQuest, other users, or third parties; or
  • —otherwise, where you breach these Terms or applicable law, in accordance with the notice, review, and decision process in §4.

Where lawful and practicable, we will provide notice of the grounds for termination. Following termination, you may request a copy of your content within thirty (30) days, subject to applicable law and our Privacy Policy. You may stop using the Service and request account closure at any time.

18. Governing Law & Dispute Resolution

18.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

18.2 Negotiation

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties.

18.3 Mediation

If the dispute is not resolved by negotiation within fourteen (14) days of a written notice of dispute, it shall be referred to mediation under the Arbitration and Mediation Act, 2023. The parties shall attempt to resolve the dispute by mediation within thirty (30) days of the commencement of mediation, unless extended by written agreement.

18.4 Arbitration

If the dispute is not resolved through mediation within that period, it shall be finally resolved by binding arbitration in accordance with the Arbitration and Mediation Act, 2023. The seat of the arbitration shall be Abuja, Nigeria, and the proceedings shall be conducted by a sole arbitrator. The language of the arbitration shall be English.

18.5 Courts' Residual Role

Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from the courts of Nigeria where necessary to protect rights or property, or to preserve the status quo pending resolution (including account restoration or removal of defamatory content). The courts of Nigeria shall retain exclusive jurisdiction to enforce, or set aside, arbitral awards, and to hear any matter excluded from arbitration by applicable law.

18.6 Consumer & Small-Claims Carve-Out

Where you are a consumer acting for purposes wholly or mainly outside your trade, business, craft, or profession, you may elect, in lieu of mediation/arbitration, to bring a claim in a court of competent jurisdiction in Nigeria if:

  • —the claim qualifies for small claims procedure in the applicable court;
  • —the amount in dispute is below ₦500,000; or
  • —applicable law otherwise does not permit the dispute to be referred to binding arbitration.

18.7 Costs

Each party shall bear its own legal costs of any negotiation, mediation, or arbitration. The costs of the mediation shall be shared equally unless the parties agree otherwise; the arbitral tribunal may apportion arbitration costs in accordance with the Act.

18.8 Exclusive Jurisdiction (Residual)

To the extent any dispute is not subject to negotiation, mediation, or arbitration under this clause, the parties submit to the exclusive jurisdiction of the courts of Nigeria.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to registered users by email or an in-app notice before they take effect. If you do not accept a material change, you may stop using the Service and close your account before the stated effective date, as provided in §4.6. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms, except to the extent such acceptance is not permitted by applicable law. Non-material changes will be posted on the Service with a revised Effective Date, and prior versions are available on request.

21.2 Roles

FixQuest is a data controller for the account, usage, and listing data we collect directly from you. Where you subscribe to a paid plan, your payment data is processed by our third-party payment processor, Flutterwave, under its own terms and policies (and as applicable, as a controller or processor for that data); we process payment-related data only as necessary to provide the Service. 21.3 Lawful Bases

We process personal data only where we have a lawful basis, including performance of a contract with you, compliance with legal obligations, legitimate interests, or consent where required. Where we rely on consent, you may withdraw it at any time without affecting the lawfulness of processing carried out before withdrawal.

21.4 Your Rights

Subject to the NDPA, you may request access to, rectification of, erasure of, restriction of processing of, or portability of your personal data, object to processing, or withdraw consent, by contacting support@fixquest.com.ng. We will respond within the timeframe required by applicable law.

21.5 Security

We implement appropriate technical and organisational measures to protect personal data against unauthorised or unlawful processing, accidental loss, destruction, or damage, taking into account the state of technology, the cost of implementation, and the nature, scope, context, and purposes of processing.

21.6 Breach Notification

In the event of a personal data breach, we will notify the Nigeria Data Protection Commission and affected data subjects as required by the NDPA and applicable regulations, without undue delay where feasible.

21.7 Retention & Deletion

We retain personal data only for as long as necessary for the purposes for which it was collected, including to provide the Service, comply with legal obligations, resolve disputes, and enforce agreements. On closure of your account, we will delete or de-identify your personal data in accordance with applicable law, subject to applicable retention periods.

21.8 Third-Party Links

The Service may link to third-party services (including Flutterwave). We are not responsible for their privacy practices; please review their respective policies.

22. Severability

If any provision of these Terms (or part of a provision) is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, or failing that, severed, and the remaining provisions shall continue in full force and effect.

23. Waiver

A failure or delay by either party in exercising any right under these Terms shall not operate as a waiver of that right, nor shall any single or partial exercise preclude any further exercise. No waiver is effective unless in writing and signed by the waiving party.

24. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or pages incorporated by reference, constitute the entire agreement between you and FixQuest regarding the Service, and supersede all prior agreements, understandings, or communications, whether written or oral.

25. Survival

Sections 6, 13–16, 18, and 21–24 shall survive termination or expiration of these Terms.
